Terms of Service

1. Who we are and what you're agreeing to

GAAP IQ ("we," "us," "our") operates gaapiq.ai and related services (the "Services"). These terms are a binding agreement between you (personally or on behalf of the entity you represent) and the operator of GAAP IQ governing your use of the Services. By using the Services you agree to these terms; if you don't agree, don't use the Services. You must be at least 18. We may update these terms from time to time by posting a revised version with a new "Last updated" date; continued use after changes take effect constitutes acceptance. For material changes we'll make reasonable efforts to notify you (for example by email or an in-product notice).

2. The service

GAAP IQ provides AI-assisted technical accounting research, document drafting, and related tools. Output is generated with citations to source material so you can verify it, and you should: GAAP IQ is a professional tool, not a substitute for professional judgment. Use of the Services in your professional and internal business work — including client-serving work — is expressly permitted; that's what the product is for.

3. Output is a starting point, not advice

Everything GAAP IQ generates — research answers, memos, footnote drafts, policies, schedules, and exported documents or workbooks — is an AI-assisted draft or computational aid. It is a starting point for a qualified professional, not a finished deliverable, and not accounting, audit, legal, tax, or investment advice. Before relying on any output or including it in financial statements, filings, or other records, you must:

4. Plans, sessions, and fair use

Plans include research sessions as stated on the pricing page — a stated monthly number on Professional, and unlimited sessions on Enterprise (a session is one research thread, including its follow-up questions) — plus unlimited use of memo, disclosure, policy, and schedule drafting on paid plans for normal professional purposes. "Unlimited" means we don't count your sessions or documents; it does not permit automated scraping, resale or redistribution of output or of the underlying reference content, credential sharing across organizations, or scripted bulk generation, and all use remains subject to a fair-use ceiling on aggregate processing. We may throttle or suspend usage inconsistent with individual professional use, and we'll contact you before doing anything drastic.

5. Your content and our content

Documents you upload and content you create remain yours, and as between you and us, you own the output generated for you (noting that similar questions may produce similar output for other users — no exclusivity in generated material is promised). We use your content only to provide the Services (retrieval, drafting, peer analysis) and don't train models on your private content. The Services themselves — software, design, databases, marks — are ours or our licensors'. Reference materials surfaced by the Services (accounting standards and publishers' interpretive guidance) remain the property of their respective owners and are provided with attribution for your professional reference; you may not extract, compile, or redistribute them as a dataset or competing resource. Feedback you send us about the Services may be used by us without restriction or compensation.

6. Accounts

Keep your registration information accurate and your credentials confidential; you're responsible for activity under your account. We may suspend or terminate accounts that breach these terms, that provide false information, or that we reasonably believe are being used unlawfully — and where practical we'll warn you first. You can stop using the Services and request account deletion at any time.

7. Billing

Subscriptions bill through Stripe on the term you select — monthly or annually — and renew automatically until canceled; you consent to recurring charges to your chosen payment method. You can cancel anytime, effective at the end of the current billing period (for annual subscriptions, the end of the paid year); you retain full access through the period you paid for. All purchases are final: except where required by law, fees already paid are not refunded, in whole or for partial periods. Session allowances are monthly on every term — they reset on the first of each calendar month and do not accumulate or carry forward, including on annual subscriptions. We may change prices with notice communicated in accordance with applicable law — changes apply from your next billing cycle (for annual subscriptions, your next renewal), never retroactively.

Our Privacy Policy describes what we collect and how we use it, and is incorporated into these terms. The Services are hosted in the United States; if you access them from elsewhere, you consent to your data being transferred to and processed in the United States.

10. Modifications and availability

We may change, update, or discontinue features at any time. We aim for high availability but the Services may be interrupted for maintenance or by problems outside our control, and we aren't liable for unavailability. Nothing here obligates us to maintain any particular feature.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE MAKE NO WARRANTY THAT OUTPUT IS ERROR-FREE, COMPLETE, OR CURRENT TO THE LATEST STANDARDS, AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER GAAP IQ NOR ITS OPERATORS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR PROFESSIONAL LIABILITY ARISING FROM RELIANCE ON OUTPUT — AND OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to defend and indemnify GAAP IQ and its operators against claims arising from your breach of these terms, your content, your use of output in documents you prepare or file, or your violation of law or third-party rights.

14. Governing law and disputes

These terms are governed by the laws of the United States and of the state in which GAAP IQ's operator is headquartered, without regard to conflicts of law. Before formal proceedings, both sides agree to try to resolve any dispute informally for thirty days after written notice. Unresolved disputes will be finally resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, conducted remotely or at a mutually agreed location, on an individual basis — not as a class or representative action. YOU UNDERSTAND THAT WITHOUT THIS PROVISION YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. Either side may instead bring qualifying claims in small-claims court, or seek injunctive relief for misuse of intellectual property. Claims must be brought within one year of arising, where enforceable.

15. Electronic communications

You consent to receive communications from us electronically and agree that electronic agreements, notices, and records satisfy any legal requirement that they be in writing.

17. Miscellaneous

These terms plus the Privacy Policy are the entire agreement between us regarding the Services. If a provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision isn't a waiver. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
